Trustee Job Description

The Board of Trustees of Damascus Road is legally and ethically responsible for all activities of the Church. Trustees will consider their first allegiance to be to God and will examine all issues in the light of His leadership.

General Qualifications:

  • Committed to our congregational vision.
  • Committed to attending at least 75% of Trustee meetings held during their term.
  • Committed to attending all general church business meetings held during their term.
  • Committed to being a team player on the Board of Trustees and a morale builder in the congregation. Trustees have the responsibility and opportunity to carefully examine and question all issues on the agenda. Once a vote is taken on an issue, they should be united in support of that decision as congregational leaders.
  • Committed to serving the members they represent. This involves sharing accurate information to the members, being a representative and advocate for member concerns and congregational needs and being available to answer members’ questions and listen to their comments. Trustees will maintain confidentiality in regard to sensitive issues.
  • Committed to supporting and encouraging the pastoral staff and other Trustees in their calling to provide Biblical leadership. While affirming the importance of our different perspectives, there should be a strong confidence and trust in the basic integrity and motives of the pastoral staff and the Trustees.
  • A model of moral integrity and purity. This points toward moral maturity, not perfection; towards total submission to Christ, not sinlessness.
  • A model of biblical stewardship and financial integrity.
  • A member of Damascus Road as defined in the Bylaws, who has attended regularly for at least one (1) year and has exhibited willingness to service.
  • Willing to sign the Trustee Covenant and prayerfully live this covenant out in an intentional manner in their lives.

Corporate Trustee responsibilities:

  • Assessing how the organization carries out its mission through annual ministry/budget planning and review.
  • Overseeing the strategic planning process (3-5 year plan)
  • Selecting and removing all officers and agents of the Corporation; prescribe any powers and duties for them that are consistent with law; with the Articles of Incorporation and with the Bylaws.
  • Changing the principle office or the registered office of the Corporation in the State of Maryland from location to another, and designate any place within the State of Maryland for the holding of any meeting or meetings of the Board of Trustees.
  • Adopting, making, and using a corporate seal and altering the form of the seal.
  • Borrowing money and incurring indebtedness on behalf of the Corporation and causing to be executed and delivered for the Corporation’s purposes in the Corporation’s name, promissory notes and other evidences of debt and securities.
  • Evaluate the Senior Pastor annually (delegated to the Human Resources Committee).

General Trustees Responsibilities:

  • Understands and promotes the mission of the church
  • Is familiar with the church’s programs and operations
  • Participates as needed with board appointed committees
  • Participates in board retreats and planning meetings as scheduled
  • Participates in general Damascus Road functions in order to be visible and available to the congregation
  • Participates in resource development and fundraising activities as appropriate (capital campaign)
  • Is an active participant in living out the 5 G’s.
  • Reviews board meeting materials as provided before each meeting
  • Works collaboratively with the Elders
  • Participates in the nomination and election process for the Board of Trustees

Time Demands (approximate):

  • Attend and actively participates in at least 75% of all regularly scheduled Trustee meetings (10-12 monthly meetings – 2 to 3 hrs and is typically held on the 2 nd Tuesday of every month)
  • Committee work (where applicable) – typically 1-3 hrs per month or as decided by the committee
  • Attends all congregational meetings related to ministry direction and budget process
